Article 1 - Election of Officers

Sec 1. The President with the concurrence of the Executive Committee shall appoint a Nominating Committee of three members in March.

Sec. 2 The Nominating Committee shall present a full slate of candidates at the first regular Club meeting in April.

Sec. 3. Additional nominations may be made from the floor at the first regular meeting in May. All nominees must have agreed to serve if elected.

Sec. 4. Election shall be conducted by the Nominating Committee at the Annual Club meeting in May. Voting shall be by voice vote except when multiple nominations have been made for any office, in which case secret ballots shall be used. Election shall be by a majority of members present at that meeting.

Sec. 5. Newly elected officers shall be installed at the last regular Club meeting in May, and shall assume their duties at the conclusion of that meeting.

Article II - Duties of Officers

Sec. 1. The President shall preside at all meetings of the Club, the Executive Committee, and the Board of Directors. The President shall appoint the chairmen of all standing and ad hoc committees, except the Nominating Committee (Ref Article I, Sec. 1). The President shall advise Committee Chairmen as to the appointment of committee members, and consent to such appointments. The President shall be responsible for administering the Club's programs as established by the Board of Directors. The President shall be an ex-officio member of all committees except the Auditing and Nominating Committees.

Sec. 2. The First Vice-President shall perform the duties of President in the absence of, or inability of the President to act, and related duties, as assigned. The First Vice-President shall select competent judges who are neither residents of Leisure World, nor non-resident members of the Club [See: Rossmoor Camera Club Competition Rules – Judging Procedures].

Sec. 3. The Second Vice-President shall perform the duties of President in the absence of, or inability of the President and First Vice-President to act, and related duties as assigned. The Second Vice-President shall coordinate the competitions.

Sec. 4. The Secretary shall keep the minutes and such other records as required by the Executive Committee of Club meetings, Executive Committee meetings, and meetings of the Board of Directors. The Secretary shall write correspondence as directed.

Sec. 5. The Treasurer shall maintain a current membership directory; shall collect membership dues; shall submit to the membership an un-audited report of receipts and expenditures at the Annual meeting, and interim reports as requested by the President.

Sec. 6. The Executive Committee shall advise and guide the President in the administration of the affairs of the organization.

Sec. 7. In the event that any elected officer fails to perform assigned duties as described above that person may be dismissed by a vote the Executive Committee,.

Article III - Functions of Board of Directors

Sec. 1. The Board of Directors shall be chaired by the President and shall be responsible for the timely planning and establishing of the Club's policies and programs. After approval by the Board of Directors, each designated member shall be responsible for carrying out their portion of the program plan.

Article IV – Areas of Importance

To help implement the Club's program, the following areas of importance are established to function under the general guidance and coordination of the President:

Sec. 1. Permanent Functions:

A. EQUIPMENT person/persons shall be in charge of all Club audio-visual equipment and the inventory, operation, maintenance and storage thereof. The committee will make recommendations to the Board of Directors for the acquisition of additional equipment and any special needs. It shall be the responsibility of the chairmen of other committees to inform the equipment chairman of their needs for a particular meeting at least 24 hours in advance of that meeting. The Committee shall also arrange for all physical facilities needed within the clubhouse complex for regular meetings, special functions of the Club, and for presentations at community Photo Matinees, including reservations for rooms, screen equipment, room light control, and planning for adequate seating, tables, podiums, and other requirements. NAMETAGES have been an important part of this setup.

B. PSA (Photographic Society of America) REPRESENTATIVE shall attend meetings of the PSA, report back to the Club on significant developments, and make recommendations of any actions the Club should take.

C. PUBLICITY individual shall be in charge of writing, and/or editing and coordinating all publicity releases to media outlets that have been provided by the
Officers / Board.

D. PROGRAMS individual shall plan and implement programs designed to further photographic knowledge and skills of the members.

E. EXHIBIT individual is responsible for Club photographs hung in public places.

F. Database Manager is responsible for computerized maintenance of necessary records including those related to membership, competition results, and dates, times, presenters and subjects of all meetings. The Database Manager is also the Club scorekeeper for all competition events.

G. Archivist is responsible for organizing and maintenance of printed reports and copies of CDs and DVDs of Club programs and events.

H. Webmaster is responsible for the design and continual maintenance of the web site on the internet.

Sec. 2. Ad Hoc Committees may be established as considered desirable by the President and/or the Board of Directors.

Article V - Dues

Sec. 1. At the Annual meeting in May, the Board of Directors may propose dues for the following year for approval by the membership.

Article VI - Honors and Awards Programs

Sec. 1. Competitions. Awards for photographic accomplishments shall be presented and appropriate recognition shall be made at the annual banquet in accordance with the stated Competition Rules.

Sec. 2. Executive Committee. Two awards may be made by action of the Executive Committee, neither of which is necessarily made each year.

A. OUTSTANDING MEMBER. To be eligible for this award, the recipient will have made outstanding contributions to the effectiveness of the Club.

B. MERITORIOUS SERVICE. This award is given to a member of the Club who has made exceptional contributions to the Club, or, as a member of the Club, to the local community or the photographic community.

Sec. 3. Board of Directors. Special memberships may be conferred by the Board of Directors.

A. HONORARY MEMBERSHIP in the Club may be conferred by the Board of
Directors upon any individual who has made a significant contribution to the development and program of the Club.

Sec. 4. Certificates. Appropriate certificates of accomplishments may be made to acknowledge the accomplishments of the members.

Article VII - Amendments

Sec. 1. Any proposal to amend these by-laws shall first be presented to the Board of Directors, which, at its next meeting, shall consider such proposal. Thereafter, no later than the second regular meeting of the Club, the Board of Directors shall present to the Membership the proposed amendment, together with the Board's recommendations. This shall be at least one regular meeting prior to the meeting at which the proposed amendment is called for vote. A copy of the proposed amendment, and the recommendation of the Board, shall be posted on the Club's Bulletin Board, and copies will be made available to Members on request. Adoption shall require a simple majority vote of those present and voting.
